Agreement Overview
These Terms of Service ("Terms") govern your use of Retagly's Electronic Shelf Label (ESL) solutions, software, hardware, and related services. By using our services, you agree to these Terms.
1. Service Description
ESL Technology Solutions
Retagly provides comprehensive ESL solutions including:
Hardware Components
- • Electronic shelf label displays
- • Base station communication hubs
- • Installation hardware and accessories
- • Network infrastructure components
Software & Services
- • ESL management software
- • POS system integrations
- • Installation and setup services
- • Ongoing technical support
Service Coverage Area
Primary service area includes Greater Los Angeles, San Fernando Valley, and surrounding regions. Extended coverage available upon request.
2. Customer Responsibilities
Installation Requirements
- Provide appropriate power supply and network infrastructure
- Ensure adequate WiFi coverage throughout installation areas
- Maintain clean and accessible installation locations
- Provide accurate product catalog and pricing data
Ongoing Obligations
- Maintain POS system compatibility and data formats
- Provide timely notification of system issues or concerns
- Follow recommended maintenance and care procedures
- Ensure authorized personnel only access ESL management systems
3. Service Level Agreement
Support Response Times
System Availability
*Within LA County during business hours
Service Credits
If we fail to meet our SLA commitments, you may be eligible for service credits. Contact support within 30 days to request credit evaluation.
4. Payment Terms
Hardware & Installation
- 50% deposit required upon contract signing
- Remaining balance due upon installation completion
- Payment terms: Net 30 days from invoice date
- Accepted payment methods: Check, ACH, wire transfer
Ongoing Service Fees
- Support and maintenance: Billed monthly in advance
- Software licenses: Annual renewal required
- Additional services: Billed upon completion
Late Payment Policy
Accounts past due may incur late fees of 1.5% per month. Services may be suspended for accounts more than 60 days past due.
5. Warranty & Liability
Hardware Warranty
- • ESL displays: 5-year warranty
- • Base stations: 5-year warranty
- • Installation materials: 2-year warranty
- • Free replacement for defective units
Software Support
- • Free software updates for 3 years
- • Bug fixes and security patches
- • Technical support during warranty
- • Remote diagnostics and troubleshooting
Limitation of Liability
Retagly's total liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
6. Intellectual Property
Retagly Property
All software, documentation, and proprietary technology remain the intellectual property of Retagly.
- • Software licenses are non-transferable
- • Reverse engineering is prohibited
- • Trade secrets must be protected
Customer Data
You retain ownership of all product, pricing, and business data processed by ESL systems.

7. Termination
Customer Termination
You may terminate services with 30 days written notice. Hardware purchases are final, but ongoing service contracts can be cancelled.
Termination for Cause
We may terminate services immediately for non-payment, breach of terms, or misuse of systems.
Post-Termination

- • Software licenses terminate
- • Support services end
- • Data export assistance provided
